Welcome to Audacity. These Terms of Use ("Terms") govern your access to and use of the website at audacity.to and any related services (collectively, the "Services") operated by Audacity ("Audacity", "we", "us", or "our"), a company registered in Singapore.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. About Audacity

Audacity is a specialised recruitment consultancy focused on technology sectors including Technology, AI, and the Decentralised Web. We connect companies ("Clients") with qualified professionals ("Candidates") through headhunting and talent matching services.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Our Services

3.1 For Candidates

Audacity provides a platform for professionals to submit their information for consideration in current and future recruitment opportunities. By submitting your details:

  • You are expressing interest in being considered for roles sourced by Audacity
  • You understand that submission does not guarantee placement, introduction to any Client, or inclusion in our active candidate pool
  • You acknowledge that Audacity selects candidates for its pool at its sole discretion
  • You consent to Audacity storing and processing your information as described in our Privacy Policy

Candidates are not charged any fees for Audacity's Services.

3.2 For Companies

Audacity provides recruitment and talent sourcing services to companies seeking to fill open positions. By submitting a hiring brief:

  • You are engaging Audacity to identify and present potential candidates
  • You understand that submitting a brief does not create a binding recruitment engagement — formal recruitment services are governed by a separate Recruitment Services Agreement between your company and Audacity
  • You acknowledge that Audacity does not guarantee successful placements

3.3 Matching Process

As part of our matching process:

  • Candidate and Client information is shared on an anonymised basis during the initial matching phase
  • Neither party's identifying details (such as names or company names) are disclosed until both parties agree to a formal introduction
  • Identifying information is shared only once a meeting is arranged between the Candidate and the Client

4. User Submissions

4.1 Information You Provide

When you submit information through our website (including via Typeform), you agree that:

  • All information provided is accurate, current, and complete
  • You will update your information if it changes
  • You have the right to provide any information, documents, or materials you submit (including CVs, job descriptions, and company details)
  • You will not submit false, misleading, or fraudulent information

4.2 How We Use Submissions

Information submitted through our Services is used for recruitment and talent matching purposes as described in our Privacy Policy. We reserve the right to:

  • Accept or decline any submission at our sole discretion
  • Remove or disregard submissions that we believe are inaccurate, incomplete, or inappropriate
  • Contact you regarding your submission or related opportunities

5. Intellectual Property

5.1 Audacity's Intellectual Property

All content on our website — including text, graphics, logos, design, and layout — is the property of Audacity or its licensors and is protected by applicable intellectual property laws.

All documents, reports, candidate shortlists, assessments, and other materials provided by Audacity to Clients or Candidates in the course of our Services are and remain the intellectual property of Audacity. These materials:

  • Are provided for the recipient's internal use only in connection with the specific recruitment engagement
  • May not be copied, shared, distributed, or disclosed to any third party without Audacity's prior written consent
  • May not be used to circumvent Audacity's Services or engage candidates or clients directly outside of the agreed engagement

5.2 Your Content

You retain ownership of any content you submit to us (such as CVs, job descriptions, or company information). By submitting content, you grant Audacity a non-exclusive, worldwide, royalty-free licence to use, store, process, and share that content as necessary to provide our Services, including sharing it with potential matches in accordance with our matching process described in Section 3.3.

6. Candidate Introduction Protection

A candidate is considered "introduced" by Audacity once we share identifying information about that individual with a Client.

If a Client engages, hires, or enters into any arrangement with an introduced candidate — whether for the originally discussed role or any other role — within 12 months of the introduction, the placement is attributed to Audacity and subject to the fees outlined in the applicable Recruitment Services Agreement.

This applies regardless of whether:

  • The candidate was initially declined for the original role
  • The candidate is hired for a different position
  • The hiring is done through an affiliate, subsidiary, or related entity of the Client

7. Fees and Payment

7.1 Candidates

Audacity's Services are free for Candidates. We do not charge candidates any fees at any stage of the recruitment process.

7.2 Companies

Fees for recruitment services are outlined in a separate Recruitment Services Agreement between Audacity and the Client. Specific fee structures, payment terms, placement guarantees, and refund conditions are detailed in that agreement.

No fees are incurred by submitting a hiring brief through our website. Fees apply only upon a successful placement as defined in the Recruitment Services Agreement.

8. Placement Guarantee

Audacity offers a time-limited placement guarantee for placed candidates. If a candidate's employment terminates within the guarantee period, a partial or full refund may apply depending on when the termination occurs. The specific terms and conditions of the guarantee are set out in the applicable Recruitment Services Agreement.

9. Confidentiality

9.1 Candidates

Candidate information shared with Audacity is treated as confidential. We do not disclose candidate identities to Clients until both parties have agreed to a formal introduction, as described in Section 3.3.

9.2 Companies

Company and role information shared with Audacity is treated as confidential. We do not disclose company identities to Candidates until both parties have agreed to a formal introduction.

9.3 General

Both Candidates and Clients agree not to disclose any confidential information received through Audacity's Services to third parties without prior written consent from Audacity.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Audacity provides its Services on an "as is" and "as available" basis without warranties of any kind, whether express or implied
  • Audacity does not guarantee the accuracy, completeness, or suitability of any candidate or role information
  • Audacity is not liable for the performance, conduct, or suitability of any candidate after engagement commences
  • Audacity is not liable for any hiring decisions made by Clients
  • Audacity's total liability for any claim arising from or related to these Terms or our Services shall not exceed the fees paid by the Client to Audacity in the 12 months preceding the claim
  • Audacity shall not be liable for any indirect, incidental, consequential, or punitive damages

Clients are solely responsible for conducting their own due diligence on candidates, including verification of credentials, work authorisation, background checks, and compliance with applicable employment laws.

11. Prohibited Conduct

When using our Services, you agree not to:

  • Provide false, misleading, or fraudulent information
  • Use our Services to circumvent Audacity and engage directly with introduced candidates or clients outside of the agreed engagement
  • Copy, reproduce, or distribute Audacity's intellectual property or materials without written consent
  • Use automated systems (bots, scrapers, or similar tools) to access our website or Services
  • Interfere with or disrupt the operation of our Services
  • Use our Services for any unlawful purpose

12. Data Deletion and Account Removal

Since our Services are form-based and do not require user accounts, your data is stored in our internal systems (including our CRM). You may request deletion of your personal data at any time by contacting us at talent@audacity.to. We will process your request in accordance with our Privacy Policy and applicable data protection laws.

13. Third-Party Services

Our Services may integrate with or link to third-party platforms (such as Typeform, Google Drive, LinkedIn, and GitHub). These third-party services are governed by their own terms and privacy policies. Audacity is not responsible for the practices or content of any third-party services.

14. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website or by contacting you directly. Your continued use of our Services after any changes constitutes acceptance of the revised Terms.

15. Termination

We reserve the right to suspend or restrict access to our Services at any time, for any reason, without prior notice. This includes removing candidate or client data from our systems, subject to applicable data protection laws and any obligations under an active Recruitment Services Agreement.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to achieve the closest lawful equivalent, while all remaining provisions continue in full force and effect.

17. Governing Law and Disputes

These Terms are governed by the laws of Singapore.

Any disputes arising from or relating to these Terms or our Services shall first be addressed through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts of Singapore.
